TERMS OF USE AGREEMENT
This Terms of Use Agreement (“Agreement”) constitutes a legally binding agreement made between you, whether personally, or on behalf of an entity (“user” or “you”) and Remote Teachers LLC and its affiliated companies (collectively, “RT” or “we” or “us” or “our”), concerning your access to and use of the https://remoteteachers.com website, its subdomains, its online learning and teaching environments, as well as any other media form, media channel, mobile website or mobile application related or connected thereto (collectively, the “Website”). By using the Website, you agree to be bound by these terms. If you do not agree to this Agreement, do not use the Website. You agree to comply with any additional terms which are referred to on this Website or any area within the Website.
All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by their parent or guardian to use the Website. If you are a minor, you must have your parent or guardian read and agree to this Agreement prior to you using the Website. Persons under the age of 13 are not permitted to register for the Website or use the RT Services.
Key Terms
a) Student – a user who uses the Website to seek educational services.
b) Teacher – a user who uses the Website to provide educational services to Students.
c) Virtual Classroom – an online learning and teaching environment, supervised by a Teacher.
d) Session – an interactive online meeting, which takes place in our Virtual Classroom.
e) Guard time - a time that prevents users from changing their booking before the appointment.
The Website is an online platform where Teachers offer educational services (“RT Services” or “Services”) online, such as tutoring, and courses (for non-credits). RT does not act as an agent for any Teachers, who are independent Service providers.
1. Ownership
The content on the Website is protected by copyright law and international conventions and is the property of its owner. Any unauthorized use of the content may violate copyright laws, trademark laws, the laws of privacy and publicity, and civil and criminal statutes. Certain documents published on the Website may contain other restrictions, proprietary notices and/or copyright information relating to that individual document, including, but not limited to notices that limit or prohibit your ability to make copies of that document. Please review all additional notices before making any copies.
2. User Conduct
You may not use the Website to post or send any materials that (1) interfere with anyone else's use of the Website; (2) are “spam,” abusive, illegal, obscene or threatening in any way; (3) encourage anyone to break the law, or to breach their agreements with RT or third parties; (4) violate anyone's copyright or other property right; (5) interfere with the privacy of any other user; (6) contain a virus or any other harmful component; (7) are advertising, surveys, or other commercial materials, except in those areas of the Website where these materials are permitted; or (8) contain false or misleading statements of fact or descriptions of the origin of the material.
Prohibited activity includes, but is not limited to (1) attempting to bypass any measures of the Website designed to prevent or restrict access to the Website, or any portion of the Website; (2) attempting to impersonate another user or person or using the username of another user; (3) criminal or tortious activity; (4) deciphering, decompiling, disassembling or reverse engineering any of the software comprising or in any way making up a part of the Website; (5) deleting the copyright or other proprietary rights notice from any Website content; (6) engaging in any automated use of the system such as using any data mining, robots or similar data gathering and extraction tools; (7) except as may result from standard search engine or Internet browser usage, using or launching, developing or distributing any automated system, including, without limitation, any spider, robot (or "bot"), cheat utility, scraper or offline reader that accesses the Website, or using or launching any unauthorized script or other software; (8) harassing, annoying, intimidating or threatening any RT employees or Teachers engaged in providing Services to you; (9) interfering with, disrupting, or creating an undue burden on the Website or the networks or services connected to the Website; (10) making any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means, or creating user accounts by automated means or under false pretenses; (11) selling or otherwise transferring your profile; (12) systematic retrieval of data or other content from the Website to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from RT; (13) tricking, defrauding or misleading RT and other users, especially in any attempt to learn sensitive account information such as passwords; (14) using any information obtained from the Website in order to harass, abuse, or harm another person; (15) using the Services as part of any effort to compete with RT or to provide services as a service bureau; or (16) using the Website in a manner inconsistent with any and all applicable laws and regulations.
Although RT may from time to time monitor or review bulletin boards, chatrooms, postings and other areas of the Website, RT is under no obligation to do so and assumes no liability or responsibility arising from the contents of any such postings or for any defamation, inaccuracy, libel, obscenity, or profanity contained in any such posting. RT may edit or remove any user material or conversation that violates RT policies in any way. RT will fully cooperate with any law enforcement authorities or court order requesting or directing RT to disclose the identity of anyone posting such materials. If an area of the Website allows "private" sharing of user materials, RT does not guarantee the security or privacy of such user materials.
If you believe another user is violating these terms, please contact us via a ticket from your account with the title “Terms Violation,” or from our contact page. If you believe that any user material infringes your copyright, please provide notification pursuant to RT Copyright Complaint Policy.
3. Payments
Student Services
RT collects the payment for each service on behalf of the teacher and will disburse the entire amount for a successfully provided service. You agree to pay RT all charges at the prices then in effect for the Services you or other persons using your PayPal account may purchase. RT or a Teacher reserves the right to correct any errors or mistakes made in pricing, even if the payment was already requested or received. RT or a Teacher may change prices at any time.
School District Services
80% of the contractual amount will the divided by the number of months of the school year. During each of those month, Teachers who participate to the tutoring Services will proportionally, based on the hours of Service provided by each, share the monthly amount.
To use the Services, you must adhere to the following rules below:
a) All Services are pre-paid, using PayPal.
b) For successfully delivered Services, teachers will receive 100% of the amount paid by Students for each Service. Payments will be prorated for partial hours of Tutoring Services provided. The disbursements for Tutoring Services by PayPal or check are made or sent out on the 15th of the month following the month when the Services were completed. For Course Services, 50% of the disbursement by PayPal or check are made or sent out on the 15th of the month following the month when the Course Service has reached halfway. The remaining 50% of the disbursements by PayPal or check are made or sent out on the 15th of the month following the month when 100% of the Course Service was completed. There is a PayPal fee associated and applied to each PayPal transfer. Please contact PayPal for questions related to these fees.
4. Cancellation and Refund Policy
Please review the RT Cancellation and Refund policy posted on our Website prior to making any purchases.
5. User Content
The Website may invite you to chat or participate in blogs, message boards, Virtual Classrooms, online forums and other functionality and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute or broadcast content and materials to RT and/or to or via the Website, including, without limitation, text, writings, video, audio, photographs, graphics, comments, suggestions or personally identifiable information or other material (collectively "Contributions"). Any Contributions you transmit to RT will be treated as non-confidential and non-proprietary. When you create or make a Contribution available, you thereby represent and warrant that:
a) the creation, distribution, transmission, public display and performance, accessing, downloading and copying of your Contribution does not and will not infringe the proprietary rights, including, but not limited to the copyright, patent, trademark, trade secret or moral rights of any third party;
b) you are the creator and owner or have the necessary licenses, rights, consents, releases and permissions to use and to authorize RT and the Website users to use your Contributions as necessary to exercise the licenses granted by you under this Agreement;
c) you have the written consent, release, and/or permission of each and every identifiable individual person in the Contribution to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Contribution in the manner contemplated by this Website;
d) your Contribution is not obscene, lewd, lascivious, filthy, violent, harassing or otherwise objectionable (as determined by RT), libelous or slanderous, does not ridicule, mock, disparage, intimidate or abuse anyone, does not advocate the violent overthrow of any government, does not incite, encourage or threaten physical harm against another, does not violate any applicable law, regulation, or rule, and does not violate the privacy or publicity rights of any third party;
e) your Contribution does not contain material that solicits personal information from anyone under 18 or exploits people under the age of 18 in a sexual or violent manner, and does not violate any federal or state law concerning child pornography or otherwise intended to protect the health or well-being of minors;
f) your Contribution does not include any offensive comments that are connected to race, national origin, gender, sexual preference or physical handicap;
g) your Contribution does not otherwise violate or link to material that violates any provision of this Agreement or any applicable law or regulation.
6. License to Use
By posting or displaying Contributions to any part of the Website, or making them accessible to the Website by linking your account to any of your social network accounts, you automatically grant, represent and warrant that you have the right to grant to RT an unrestricted, unconditional, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, record, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part) and distribute such Contributions (including, without limitation, your image, video, and voice) for any purpose, commercial, advertising, or otherwise, to prepare derivative works of, or incorporate into other works, such Contributions, and to grant and authorize sublicenses of the foregoing. The use and distribution may occur in any media formats and through any media channels. Such use and distribution license will apply to any form, media, or technology now known or hereafter developed, and includes our use of your name, RT name, and franchise name as applicable, and any of the trademarks, service marks, trade names and logos, personal and commercial images you provide. RT does not assert any ownership over your Contributions; rather, between us and you, subject to the rights granted to us in this Agreement, you retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions.
RT has the right, in our sole and absolute discretion, to (i) edit, redact or otherwise change any Contributions, (ii) re-categorize any Contributions to place them in more appropriate locations or (iii) pre-screen or delete any Contributions that are determined to be inappropriate or otherwise in violation of this Agreement.
By uploading your Contributions to the Website, you hereby authorize RT to grant to each end user a personal, limited, non-transferable, perpetual, non-exclusive, royalty-free, fully-paid license to access, download, print and otherwise use your Contributions for their internal purposes and not for distribution, transfer, sale or commercial exploitation of any kind.
7. Guidelines for Reviews
RT may accept, reject or remove reviews in its sole discretion. RT has absolutely no obligation to screen reviews or to delete reviews, even if anyone considers reviews objectionable or inaccurate. Those persons posting reviews should comply with the following criteria: (1) reviewers should have firsthand experience with the person/entity being reviewed; (2) reviews should not contain offensive language, profanity, or abusive, racist, or hate language; discriminatory references based on religion, race, gender, national origin, age, marital status, sexual orientation or disability; or references to illegal activity; (3) reviewers should not be affiliated with competitors if posting negative reviews; (4) reviewers should not make any conclusions as to the legality of conduct; and (5) reviewers may not post any false statements or organize a campaign encouraging others to post reviews, whether positive or negative. Reviews are not endorsed by RT and do not represent the views of RT or any affiliate or partner of RT. RT does not assume liability for any review or any claims, liabilities or losses resulting from any review. By posting a review, the reviewer hereby grants to RT a perpetual, non-exclusive, worldwide, royalty-free, fully-paid, assignable and sublicensable license to reproduce, modify, translate, transmit by any means, display, perform and/or distribute all content relating to reviews.
8. Third Party Websites and Contents
As part of the functionality of the Website, you may link your account with online accounts you may have with third party service providers (each such account, a “Third Party Account”) by either: (i) providing your Third Party Account login information through the Website; or (ii) allowing RT to access your Third Party Account as is permitted under the applicable terms and conditions that govern your use of each Third Party Account.
The Website contains (or you may be sent through the Website or the RT Services) links to other websites ("Third Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Content"). Such Third Party Websites and Third Party Content are not investigated, monitored or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Websites accessed through the Website or any Third Party Content posted on, available through, or installed from the Website, including the content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies of or contained in the Third Party Websites or the Third Party Content. The inclusion of, linking to or permitting the use or installation of any Third Party Website or any Third Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Website and access the Third Party Websites or to use or install any Third Party Content, you do so at your own risk, and you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including the privacy and data gathering practices of any website to which you navigate from the Website or relating to any applications you use or install from the Website. Any purchases you make through Third Party Websites will be through other websites and from other companies, and RT takes no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party.
9. Warranties and Disclaimer
You represent and warrant that:
a) all registration information you submit is truthful and accurate;
b) you will maintain the accuracy of such information;
c) you will keep your password confidential and will be responsible for all uses of your password and account;
d) you will not at any time request from or provide to any user of the Website personally identifying information including, but not limited to email address, postal address, phone number, home address;
e) you will comply with all recording laws before recording a Session. Teachers or RT can choose to record Sessions, and you are giving RT consent to store recordings for any or all Virtual Classrooms that you join;
f) you will not engage in any activity that is harmful, obscene, or indecent. This includes, for example, displays of nudity, violence, pornography, sexually explicit material, or criminal activity;
g) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use this Website;
h) your use of the RT Services does not violate any applicable law or regulation;
i) you understand that the minimum duration of a tutoring Session is sixty (60) minutes (corresponding to one booking slot), multiple adjacent slots can be selected for a longer Session, and the tutoring fees per hour is determined by the Teachers;
j) you understand that the syllabus of a course, duration of a course, class meeting dates and times, contents of the course, and the cost per student, are determined by the Teachers.
k) you understand that courses are held based on sufficient enrollment and Teacher availability, and no guarantee of any kind is made regarding holding any course; and
l) you may not offer to make or receive payments using any method other than the one existing on RemoteTeachers.com. Please report to General Support if such an offer has been made via a ticket from your account.
You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Website’s registration form and (b) maintain and promptly update registration data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or RT has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, RT has the right to suspend or terminate your account and refuse any and all current or future use of the Website (or any portion thereof).
We reserve the right to remove or reclaim or change a user name you select if we determine appropriate in our discretion, such as when the user name is obscene, otherwise objectionable, or when a trademark owner complains about a username that does not closely relate to a user's actual name.
i) Student’s Warranties
You must warrant that:
a) you are not less than thirteen years old. And if you are a minor, you certify to us that you must have your parent or guardian read and agree to this Agreement prior to you using the RT Website;
b) you are responsible for assessing and choosing the suitability of a Teacher based on their profile information or rate;
c) you will behave and will not in any way be disruptive, offensive, abusive, unlawful, harassing, defamatory, threatening, harmful, obscene, profane, sexually oriented, racially offensive or otherwise objectionable in any respect to any user;
d) you understand that RT cannot guarantee the availability of any Teacher and accepts no responsibility or liability for the withdrawal, removal or unavailability of a Teacher;
e) you understand that spreading Tutoring Sessions over a certain number of week(s) depend on the teacher's calendar;
f) you must booked your tutoring Session immediately after the purchase of a tutoring Service, complete it within 7 days, and unused Session, Service, time, or slot does not roll over and cannot be reclaimed or redeemed; and
g) you understand that Teachers may extend the duration of some Sessions or schedule additional Sessions to meet the goals and the deadlines of a course if necessary or to make up for the tutoring sessions missed or not completed by Teachers.
ii) Teachers’ Warranties
You must warrant that:
a) you are at least (18) eighteen years old, a Teacher, and possess all the vital qualifications and experience to provide the Services you offer on the Website;
b) you will provide to RT accurate, genuine and up to date personal information and qualification about yourself;
c) you will personally be responsible for any information you post on the RT Website and shall indemnify RT against any liability incurred as a result of any inaccurate, false, misleading or incomplete information you provide to us;
d) you are responsible for the activities of all Students who join your Virtual Classroom and you agree to ensure that any Student will comply with this Agreement and any RT policies;
e) you are not in any way employed by RT and, therefore, you will be responsible for your own income tax, national insurance and any other liabilities payable;
f) courses are created by RemoteTeachers.com based on demands or teachers’ interest or request. RT does not guarantee that a Teacher will be offering a course if requested or interested;
g) you shall indemnify RT against any liabilities and all losses, costs, damages and expenses howsoever incurred by RT Website as a result of your use of the Website and your breach of any of these Terms;
h) all materials used by you to provide Services will not be offensive or defamatory and will not infringe any US laws;
i) you are solely responsible for the contents, information or any video or materials that you provide during the Services;
j) you will participate fully and professionally in all tutoring and course Sessions;
k) you will remain in the Virtual Classroom for the duration of all your scheduled Sessions, even if the Student is late or absent;
l) you will extend the duration of some Sessions or schedule additional Sessions to meet the goals and the deadlines of a course if necessary or to make up for the tutoring sessions that you missed or did not complete;
m) you are solely responsible for all equipment necessary to access the Website and provide the Services.
n) RT may withhold your payments for security issues, improper behavior reported by Students or other users, a dispute ticket opened against you, or illicit activity; and
o) you will use the Virtual Classrooms in a reasonable manner given the Services requested by Students and will not record more than 10 hours of video in total. RT may monitor the usage based on the number of Sessions, the duration of each Session, and the overall video recording hours. RT may suspend or terminate your account if you exceed reasonable usage (this includes, for example, an unjustifiable number of Sessions or duration of a Session, or more than 10 hours of video recording in total); and
p) you must download each recording, as a backup, immediately as it becomes available. There isn't a way for RT to recover the lost of recordings.
iii) Disclaimer of Warranty
THE WEBSITE IS PROVIDED “AS IS” AND WITH ALL FAULTS. USE THE WEBSITE AT YOUR OWN RISK. RT MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH REGARD TO THE WEBSITE. TO THE FULLEST EXTENT PERMITTED BY LAW, RT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, AND ALL IMPLIED TERMS AND CONDITIONS, INCLUDING BUT NOT LIMITED TO THOSE RELATED TO MERCHANTABILITY, SATISFACTORY QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. OCCASIONALLY, THERE MAY BE INFORMATION ON THE WEBSITE THAT CONTAINS TYPOGRAPHICAL ERRORS, INACCURACIES OR OMISSIONS THAT MAY RELATE TO SERVICE DESCRIPTIONS, PRICING, AVAILABILITY, AND VARIOUS OTHER INFORMATION. RT RESERVES THE RIGHT TO CORRECT ANY ERRORS, INACCURACIES OR OMISSIONS AND TO CHANGE OR UPDATE THE INFORMATION AT ANY TIME, WITHOUT PRIOR NOTICE.
iv) Disclaimer of Liability
Great care has been taken to ensure that the information available on this Website is correct and error free. We apologize for any errors or omissions that may have occurred.
WE CANNOT WARRANT THAT USE OF THE WEBSITE WILL BE ERROR-FREE OR FIT FOR PURPOSE, TIMELY, THAT DEFECTS WILL BE CORRECTED OR THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR BUGS OR REPRESENTS THE FULL FUNCTIONALITY, ACCURACY, RELIABILITY OF THE WEBSITE, AND WE DO NOT MAKE ANY WARRANTY WHATSOEVER, WHETHER EXPRESS OR IMPLIED, RELATING TO FITNESS FOR PURPOSE OR ACCURACY. BY ACCEPTING THESE TERMS OF USE AGREEMENT, YOU AGREE TO RELIEVE US FROM ANY LIABILITY WHATSOEVER ARISING FROM YOUR USE OF INFORMATION FROM ANY THIRD PARTY OR YOUR USE OF ANY THIRD-PARTY WEBSITE. WE DISCLAIM ANY AND ALL LIABILITY TO YOU FOR THE SERVICES SUPPLIED TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW. IF WE ARE FOUND LIABLE FOR ANY LOSS OR DAMAGE TO YOU, SUCH LIABILITY IS LIMITED TO THE AMOUNT YOU HAVE PAID FOR THE RELEVANT GOODS OR SERVICES. WE CANNOT ACCEPT ANY LIABILITY FOR ANY LOSS, DAMAGE OR EXPENSE, INCLUDING ANY DIRECT OR INDIRECT LOSS SUCH AS LOSS OF PROFITS TO YOU, HOWSOEVER ARISING. THIS LIMITATION OF LIABILITY DOES NOT APPLY TO PERSONAL INJURY OR DEATH ARISING AS A DIRECT RESULT OF OUR NEGLIGENCE. THE PRODUCTS SOLD BY US ARE PROVIDED FOR PRIVATE DOMESTIC AND CONSUMER USE ONLY. ACCORDINGLY, WE DO NOT ACCEPT LIABILITY FOR ANY INDIRECT LOSS, CONSEQUENTIAL LOSS AND LOSS OF DATA, LOSS OF INCOME OR PROFIT, LOSS OF DAMAGE TO PROPERTY AND/OR LOSS FROM CLAIMS OF THIRD PARTIES ARISING OUT OF THE USE OF THE WEBSITE OR FOR ANY PRODUCTS OR SERVICES PURCHASED FROM US. WE HAVE TAKEN ALL REASONABLE STEPS TO PREVENT INTERNET FRAUD AND ENSURE ANY DATA COLLECTED FROM YOU IS STORED AS SECURELY AND SAFELY AS POSSIBLE. 10. Indemnification
You could be held liable if your use of the Website is contrary to these terms, the Privacy Policy, or the other terms referenced on this page. You agree to indemnify, defend, and hold RT harmless from and against any claims or liabilities arising out of your use of the website contrary to these terms.
11. Privacy Policy
We care about the privacy of our users. Please review the RT Privacy Policy. By using the Website or RT Services, you are consenting to have your personal data transferred to and processed in the United States. By using the Website or the RT Services, you are consenting to the terms of our Privacy Policy.
12. Term and Termination
This Agreement shall remain in full force and effect while you use the Website or are otherwise a user or member of the Website, as applicable. You may terminate your use or participation at any time, for any reason, by following the instructions for terminating user accounts in your account settings, if available, or by contacting us via a ticket from your account with the title “Close Account.”
WITHOUT LIMITING ANY OTHER PROVISION OF THIS AGREEMENT, RT RESERVES THE RIGHT TO, IN RT’S SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE WEBSITE AND RT SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON AT ALL, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY OR COVENANT CONTAINED IN THIS AGREEMENT OR OF ANY APPLICABLE LAW OR REGULATION, AND RT MAY TERMINATE YOUR USE OR PARTICIPATION IN THE WEBSITE AND RT SERVICES, DELETE YOUR PROFILE AND ANY CONTENT OR INFORMATION THAT YOU HAVE POSTED AT ANY TIME, WITHOUT WARNING, IN RT’S SOLE DISCRETION.
In order to protect the integrity of the Website and RT Services, RT reserves the right at any time in its sole discretion to block certain IP addresses from accessing the Website and RT Services.
If RT terminates or suspends your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, RT reserves the right to take appropriate legal action, including, without limitation, pursuing civil, criminal, and injunctive redress.
13. Intellectual Property Rights
The content on the Website (“RT Content”) and the trademarks, service marks and logos contained therein (“Marks”) are owned by or licensed to RT and are subject to copyright and other intellectual property rights under the United States and foreign laws and international conventions. The RT properties are protected by copyright laws throughout the world and subject to other intellectual property and proprietary rights and laws. Subject to these Terms, RT grants you a limited license to reproduce portions of the RT properties for your internal use. Unless otherwise specified by RT in a separate license, your right to use any RT properties that you access or download through the Application or the Services is subject to these Terms. The Website and the Services, including text, software, graphics, photos, interactive features, and other content and the trademarks and logos displayed on the Website are owned by RT and its licensors and are subject to copyright, trademark, and other intellectual property rights under the U.S. and international laws.
14. Limited Liability
RT does not act as an agent for any Teacher and solely provide a Website where Students can connect with Teachers to receive Services that they offer.
You are solely responsible for your interactions with users. You understand that RT does not in any way screen users. Your use of the RT Website or provision of Services is at your own risk and discretion and you, therefore, agree to take reasonable precautions in all interactions with users and that you are solely responsible for, and agree to exercise caution, discretion, common sense and judgment in using the Website or providing or receiving the Services.
RT reserves the right to contact Teachers and other users, in compliance with applicable law, in order to evaluate compliance with RT’s Agreement. If you believe that a user has violated the law or is defrauding, threatening or otherwise endangering anyone, RT advises you to immediately contact the police directly for assistance.
15. Arbitration and Governing Law
This Agreement and all aspects of the Website and RT Services shall be governed by and construed in accordance with the laws of the State/Commonwealth of Virginia, without regard to conflict of law provisions. Any and all dispute, disagreement, controversy, or claims arising out of or relating to this contract, or the breach, termination, or invalidity thereof, shall be settled through consultation between the parties. In the event that the parties are unable to resolve their differences through consultation, the matter shall be submitted to the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. You agree not to commence or prosecute any action in connection therewith other than in the state and federal courts located in Loudoun County, State of Virginia, and you hereby consent to and waive all defenses of lack of personal jurisdiction with respect to venue and jurisdiction in such state and federal courts.
16. Dispute Between Users
If there is a dispute between users of the Website or between users and any third party, you understand and agree that RT is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release RT, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or the RT Services.
17. Modifications
i) To Agreement
RT may modify this Agreement from time to time. Any and all changes to this Agreement will be posted on the Website. You agree to be bound to any changes to this Agreement when you use the RT Services after any such modification becomes effective. RT may also, in its discretion, choose to alert all users with whom it maintains email information of such modifications by means of an email to their most recently provided email address. It is, therefore, important that you regularly review this Agreement and keep your contact information current in your account settings to ensure you are informed of changes. You agree that you will periodically check the Website for updates to this Agreement, and you will read the messages we send you to inform you of any changes. Modifications to this Agreement shall be effective after posting.
ii) To Services
RT reserves the right at any time to modify or discontinue, temporarily or permanently, the RT Services (or any part thereof) with or without notice. You agree that RT shall not be liable to you or to any third party for any modification, suspension or discontinuance of the RT Services.
